1 Introduction and acceptance

Skool Cast (Pty) Ltd trading as SkoolCast ("SkoolCast", "we", "us", "our") operates the website and learning platform at skoolcast.co.za (the "Platform"). By creating an account, accessing or using the Platform — whether as a student, parent/guardian, teacher, sponsor, or visitor (collectively "Users") — you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional guidelines we publish. If you do not agree, please do not use the Platform.

These Terms are governed by the laws of the Republic of South Africa, including (where applicable) the Electronic Communications and Transactions Act 25 of 2002 ("ECTA"), the Consumer Protection Act 68 of 2008 ("CPA"), the Protection of Personal Information Act 4 of 2013 ("POPIA"), the Copyright Act 98 of 1978, the Children's Act 38 of 2005, and the Cybercrimes Act 19 of 2020.

2 Who can use SkoolCast

• SkoolCast is intended for learners in Grades 7–12, their parents/guardians, registered teachers/tutors, and approved sponsors.
• Users under the age of 18 ("minors") may only use the Platform with the consent and supervision of a parent or legal guardian, in line with the Children's Act 38 of 2005 and POPIA's special protections for the personal information of children (sections 34–35). By registering a minor, or allowing a minor to register, the parent/guardian confirms that they have given the necessary consent and accept these Terms on the minor's behalf.
• Teachers and tutors on SkoolCast come from a wide range of backgrounds — from formally qualified educators to talented community tutors who hold a National Senior Certificate (Matric) or higher. We welcome all levels. Whatever your background, you must accurately represent the qualifications you actually hold. You are not required to be registered with the South African Council for Educators ("SACE") or any other professional body; however, if you claim professional teaching qualifications, SACE registration, a degree, or any other credential you do not hold, that constitutes misrepresentation and may result in suspension or removal from the Platform and, where warranted, may be reported to the relevant authority.

3 SkoolCast is an independent supplementary learning platform — not a school

• SkoolCast is a privately operated, supplementary online learning platform. It is not a public or independent school registered under the South African Schools Act 84 of 1996, and it does not award any qualification recognised by the Department of Basic Education ("DBE"), Umalusi, SAQA, or any provincial education department.
• SkoolCast is not affiliated with, endorsed by, sponsored by, or acting on behalf of the DBE or any provincial education department. Where lesson content references the Curriculum and Assessment Policy Statements ("CAPS"), this is solely to help align supplementary material to familiar topics and grade levels — it is not a representation that the content is approved, vetted or issued by the DBE.
• SkoolCast does not replace formal schooling, registered tuition, or official DBE learning resources. Learners and parents remain responsible for ensuring compliance with compulsory school attendance and any requirements of their registered school or the DBE.

4 Description of services

• The Platform allows students to access video, audio, PDF and live lessons, past papers, AI-assisted homework help, and a digital marketplace; teachers to publish lesson content, host live classes, mark work, and earn income; parents to monitor a learner's account and progress; and sponsors to fund access for learners.
• Access to certain content requires "unlocking" using a digital wallet funded by vouchers or other supported payment methods. Prices are displayed on the Platform and may change from time to time; the price applicable is the one shown at the time of purchase/unlock.
• We aim to keep the Platform available at all times but do not guarantee uninterrupted, error-free or secure access. Maintenance, load-shedding, network/internet outages, or third-party service interruptions (including cloud-storage and streaming providers) may affect availability.

5 Wallets, vouchers and payments

• Vouchers are sold in fixed denominations (currently from R5 upward) through approved retail partners or in-app payment options. The minimum voucher value accepted on the Platform is R5.
• SkoolCast CV Builder pricing: Each CV is advertised at R1. To create your first CV (when you have no active CV credit balance), R5 is automatically deducted from your wallet and loaded into a separate CV credit balance worth 5 CV credits (R1 each), which can be used to create up to five CVs, including different templates or profiles. You must use these credits within 8 hours of being loaded — unused credits expire and reset to zero, with no refund. This expiry window is clearly displayed in the CV Builder.
• Wallet balances may only be used to unlock content and services on the Platform and have no cash redemption value except where required by law.
• All prices are quoted in South African Rand (ZAR) and are inclusive of any applicable taxes unless stated otherwise.
• We take reasonable steps to process payments and payouts accurately and promptly, but we are not liable for delays caused by payment processors, banks, mobile network operators, or voucher suppliers.
• Teacher payouts are calculated and processed according to the revenue arrangements communicated to teachers from time to time and may be subject to verification, minimum payout thresholds, and applicable deductions.

6 User conduct

You agree not to:

• upload, share or transmit any content that is unlawful, defamatory, obscene, harassing, hateful, discriminatory, or that infringes another person's rights (including intellectual property and privacy rights);
• impersonate any person or misrepresent your affiliation, qualifications, age or identity;
• attempt to copy, capture, record, download, redistribute, resell, broadcast or otherwise extract any paid lesson, video, audio, PDF or other protected content from the Platform, or circumvent any technical measure (including streaming/proxy protections) that we use to prevent this;
• use automated tools (bots, scrapers, crawlers) to access the Platform or extract data without our prior written consent;
• interfere with or disrupt the integrity or performance of the Platform, introduce malware, or attempt to gain unauthorised access to any account, system or data; or
• use the Platform for any purpose that could harm a minor or violate any applicable law.

We may suspend or terminate accounts, remove content, and/or report conduct to the relevant authorities (including the South African Police Service or SACE, where appropriate) where we reasonably believe these Terms or the law has been breached.

7 Content, copyright and intellectual property

7.1 Ownership of platform IP. The SkoolCast name, logo, software, design, user interface and underlying technology are owned by or licensed to SkoolCast and are protected under the Copyright Act 98 of 1978, trade mark law, and other applicable intellectual property laws. You may not copy, reproduce, modify, reverse-engineer or create derivative works from any part of the Platform without our prior written permission.

7.2 Teacher and user-uploaded content. When a teacher or other user uploads or publishes content (e.g. lessons, videos, audio, PDFs, quizzes, marketplace listings, messages, or comments) ("User Content"), that user:

• confirms that they own the content or hold all rights, licences, consents and permissions needed to upload, publish and authorise its use on the Platform, including the consent of any third party whose work, image, voice or performance appears in it;
• confirms that the content does not infringe any third party's copyright, trade mark, performer's right, or other intellectual property or personal right under South African law (including the Copyright Act 98 of 1978 and the Performers' Protection Act 11 of 1967); and
• grants SkoolCast a non-exclusive, worldwide licence to host, store, stream, reproduce, display and distribute that User Content solely for the purpose of operating and promoting the Platform (and, for teachers, in line with the agreed revenue-sharing arrangement).

7.3 We do not claim ownership of User Content. Removing your account does not automatically remove previously published content where students have already lawfully unlocked or paid for access, but we will deactivate further public access where reasonably possible.

7.4 We respect copyright and expect our users to do the same. We will not knowingly publish or permit the publication of material that infringes another person's copyright — state only what you have the rights to publish; never upload work that you do not own or are not licensed to use.

7.5 Reporting copyright infringement (takedown requests). If you believe that content on the Platform infringes your copyright or other intellectual property rights, please send a written notice to our designated contact (see "Contact us" below) including:

1. identification of the copyrighted work claimed to be infringed;
2. identification of the material you allege is infringing and its location on the Platform;
3. your contact details;
4. a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law; and
5. a signed declaration that the information in the notice is accurate and that you are the owner, or are authorised to act on behalf of the owner, of the right claimed to be infringed.

On receipt of a valid notice, we will investigate and may remove or disable access to the disputed material, notify the user who posted it, and — for repeat infringement — suspend or terminate the relevant account.

8 AI-assisted features

Some features (such as AI Homework Help) use third-party artificial intelligence services to generate explanations, summaries, or suggested answers. AI-generated content is provided for study-support purposes only, may contain errors or inaccuracies, and should not be treated as a substitute for guidance from a qualified teacher or for officially endorsed DBE/CAPS material. Always verify important information independently, particularly before examinations or assessments.

9 Disclaimers and limitation of liability

9.1 The Platform, its content and all related services are provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties — express or implied — regarding the accuracy, completeness, reliability, availability or fitness for a particular purpose of the Platform, its content, or any results (including academic results, marks, or examination outcomes) that may be obtained from using it.

9.2 Although SkoolCast is built using current cloud-storage, streaming and security technologies, no online platform can guarantee complete security or uninterrupted operation. We do not promise that the Platform will be free from bugs, vulnerabilities, viruses, downtime or data loss, and — except where such liability cannot lawfully be excluded (including under the Consumer Protection Act 68 of 2008) — we are not liable for any harm arising from such occurrences.

9.3 To the maximum extent permitted by law, SkoolCast, its directors, employees, contractors and partners will not be liable for any indirect, incidental, special, consequential or punitive loss or damage (including loss of data, loss of income, or loss arising from reliance on AI-generated or user-generated content) arising from or related to your use of, or inability to use, the Platform.

9.4 Nothing in these Terms limits any right or remedy that cannot lawfully be excluded or limited, including any non-excludable rights you may have as a consumer under the CPA.

10 Privacy and data protection

Our collection, use, storage and sharing of personal information is described in our Privacy Policy, which forms part of these Terms and is aligned to the Protection of Personal Information Act 4 of 2013 (POPIA). We are committed to transparency: we do not sell personal information, and we do not expose user data beyond what is necessary to operate the Platform, comply with the law, or as you have consented to.

11 Suspension and termination

We may suspend or terminate any account, with or without notice, where we reasonably believe these Terms have been breached, where required by law, or to protect the safety, rights or property of SkoolCast, its users, or third parties. You may close your account at any time by contacting us; certain information may be retained where the law requires it (see our Privacy Policy for retention details).

12 Changes to these Terms

We may update these Terms from time to time to reflect changes in the law, our services, or our business. Where changes are material, we will give reasonable notice (for example, via the Platform or by email) before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

13 Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or your use of the Platform will, where possible, first be referred to good-faith negotiation between the parties, and thereafter to the courts of South Africa having jurisdiction — without prejudice to any right you may have to refer a consumer complaint to the National Consumer Commission or other applicable regulator.
